Company DescriptionJob Description is seeking a Corporate
Counsel to join its Legal team in LaVergne, TN just outside
Nashville. The successful candidate will have at least 3 years'
experience counseling organizations in employment law matters, as
well experience drafting, reviewing and negotiating commercial
agreements.In this role you will partner with the Chief Legal
Officer and other attorneys in directing and managing legal affairs
for Ingram Content Group, assuring compliance with laws, rules and
regulations affecting the company, giving advice to various
departments and businesses on a wide range of legal issues, and
engaging and managing outside counsel as needed. You will provide
legal support for Ingram Content Group's Human Resources function
and one or more additional functions or business units, as
assigned. At Ingram, our publisher-facing business offers more than

meet you!Required Qualifications:
- JD degree from an accredited law school
- Admittance with a license to practice law as a member of the
bar of one or more states and eligible to register as In-House
Counsel in the State of Tennessee
- 3 years of relevant experience practicing employment law in a
law firm or in-house (or a combination)Preferred Skills:
- Experience drafting, reviewing and negotiating commercial
contracts.
- Good working knowledge of data privacy laws.Key
Responsibilities:
- Serve as in-house counsel to support Ingram Content Group's
("ICG") Human Resources ("HR") function in the areas of employment
and labor, including without limitation:
- Works with HR leadership to ensure ICG's compliance with local,
state, federal and international employment laws;
- Provides advice and counsel on all aspects of day-to-day
employment and labor-related matters, including but not limited to
hiring and termination issues, discrimination, harassment,
retaliation, reasonable accommodations, leaves of absence, wage and
hour issues, union avoidance strategies, restrictive covenants,
employee investigations and risk assessments;
- Investigates and works in conjunction with outside counsel to
represent ICG in employment matters at the federal, state, and
administrative level (EEOC, DOL and state and local agencies).
Prepares and/or assists outside counsel in the preparation of
position statements.
- Represents ICG in employment-related dispute resolution;
- Assists Chief Legal Officer in managing employment litigation,
facilitating discovery, developing strategies and successfully
resolving;
- Reviews involuntary terminations and drafts separation
agreements;
- Researches and advises ICG on leave management, Title VII, ADA,
FMLA, FLSA, FCRA, ADEA, USERRA, NLRA, and other labor and
employment legal obligations;
- Assists in the drafting, implementation and enforcement of
employment-related internal policies and procedures to ensure
compliance with all domestic and international laws, regulations,
and legal standards.
- Serve as in-house counsel to support various business units
and/or organizational functions as determined by the Chief Legal
Officer, including without limitation:
- Establishes relationships and collaborates with internal
clients at all levels to support and assist in the achievement of
ICG's business objectives;
- Drafts, reviews and negotiates a wide variety of commercial
agreements that align with ICG's business objectives and risk
tolerances including, without limitation, non-disclosure, sales,
purchasing, licensing and other similar agreements;
- Maintains and updates form agreements, contract management
systems, and other databases used by the Legal Department;
- Provides strategic legal counsel and advice on a broad range of
topics in a timely, thorough and effective manner; and
- Thoughtfully and appropriately identifies and balances risks
and benefits and proactively suggests risk-mitigating
resolutions.
- Work with the Chief Legal Officer and other members of the
Legal Department to determine cost/benefit of providing legal
services in-house vs. using outside law firms, and review and
manage outside legal service providers, fees and expenses.
- Work collaboratively with other in-house attorneys, legal
assistants and outside counsel.
- Help to strengthen and improve support processes within the
Legal Department in the most cost-effective way.
- Monitor and keep updated on new developments in applicable
laws, rules, and regulations.QualificationsAdditional
